New EU rules have changed three areas of the capital markets framework at once. Listed companies are now generally only required to disclose inside information once a transaction process has reached its final event. The prospectus threshold has been raised to EUR 12 million, and new standardised prospectus formats have been introduced. And from 10 July 2026, the first submission obligations under ESAP take effect, bringing new requirements for metadata and machine-readable formats.

The changes reduce some burdens, but they also introduce new ones, and the transitional period creates practical challenges that issuers and advisers need to navigate now.
